Business account terms

1. Scope

These business account terms govern the creation and use of an NBNL business account on nbnl.de and in the business portal at /business. In addition, the general General Terms and Conditions as well as the privacy policy. In the event of a conflict, these business account terms prevail for the business account.

3. Target group and trader status

By registering a business account, the registering person confirms that they are creating the account in the exercise of a commercial or self-employed professional activity (trader within the meaning of § 14 BGB) and that they are authorised to represent the company concerned in a legally binding manner. The agreements concluded in the business portal are not consumer contracts; the consumer right of withdrawal (§ 355 BGB) therefore does not apply.

4. Registration and verification

• When registering with an e-mail address and password, the account is first created unconfirmed. It only becomes active after clicking the activation link sent by e-mail.
• When registering or signing in via Google, the account is active immediately, provided Google transmits the e-mail address as confirmed. If a not yet activated business account already exists for this address, it is activated in the process; any password stored there is deleted and existing sessions are ended. A new password can be set at any time via “Forgot password”.
• When registering, the company name, account type and the first and last name of the contact person must be provided. All information – including details added later such as address, phone number, website and type of business – must be truthful and kept up to date. A public business page requires a complete address.
• Access credentials must be treated confidentially and must not be passed on to third parties.
• As a rule, one account is provided per company or place of business; accounts are not transferable.

5. Services of the business account

Via the business account, the business can in particular maintain its own directory entry, create events/dates and suggest POIs. Submitted content (e.g. POI and event suggestions) may be reviewed editorially before publication. There is no entitlement to publication, to a particular placement or to permanent availability.

5a. Paid packages

The business account is, at the Basic tier permanently free of charge. Optionally, a paid Premiumpackage can be booked. The scope of services booked in each case follows from the package overview in the account at the time of booking.

• Prices: All prices stated are total prices. VAT is not shown; NBNL applies the small-business rule under § 19 UStG (German VAT Act). The amount shown during checkout is authoritative.
• Term and renewal: The package is booked for the billing period chosen (monthly or annual) and renews for the same period each time, for as long as it is not cancelled.
• Cancellation: At any time with effect from the end of the current billing period — in the account under “Package” via the payment service provider’s customer portal, or informally by e-mail to info@nbnl.de. Fees already paid for the current period are not refunded on a pro rata basis.
• No right of withdrawal: The packages are aimed exclusively at traders (see clause 3). A consumer right of withdrawal under §§ 312g, 355 BGB therefore does not exist.
• Late payment: If a payment fails to arrive, the account reverts to the Basic tier. The directory entry itself remains unaffected and visible.
• Price changes: Changes are announced at least six weeks before they take effect, in text form. If the account does not object before they take effect, the change is deemed accepted; in the event of an objection, the contract ends at the time of the change.
• No promise of success: What is booked is the provision of the features, not a particular number of views, enquiries or business deals. The visibility figures shown in the account are unfiltered raw values with no claim to completeness.

Payment is processed via Stripe. NBNL does not receive complete card or account data in the process; details are set out in the privacy policy.

6. Obligations and permitted content

• Only content relating to your own business, or content you are correspondingly authorised to post, may be submitted.
• For uploaded content (logos, images, texts) the account confirms that it holds all the necessary rights and grants NBNL a simple, worldwide, free right of use to display it within the platform.
• The following are in particular not permitted: false statements, unlawful, misleading or third-party content without the right to publish it, and content that infringes the rights of others.
• Applicable law, in particular competition, trade mark and copyright law, must be observed.

7. Blocking and termination

NBNL may temporarily block or permanently delete the business account in the event of breaches of these terms, the Terms and Conditions or applicable law; prior notice is given where this is reasonable. The account can be deleted at any time via the account settings or by e-mail to info@nbnl.de Personal data are removed after deletion in accordance with the privacy policy, unless statutory retention obligations stand in the way.

8. Logging of consent

On registration, NBNL documents the consent to these business account terms and to the Terms and Conditions with the date and time and the version in force at the time, on the business account. This serves as proof of the consent given.

9. Liability and availability

There is no entitlement to continuous availability of the business portal. In all other respects, the liability provisions of the AGB.

10. Changes and final provisions

These terms may be adapted for the future; the version published on the website at the time is authoritative. German law applies. The place of jurisdiction is, as far as legally permissible, the provider’s registered office. Should individual provisions be invalid, the validity of the remainder is unaffected.
